Welcome to Storeik("we," "our," or "us"). These Terms & Conditions ("Terms") govern your access to and use of the Storeik SaaS platform, website, merchant dashboard, storefront templates, and messaging automation systems (collectively, the "Service").

By creating an account, connecting your social media profiles, or using any part of the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Account Creation and Security

  • Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to register an account and use our Platform.
  • Accuracy of Information: You agree to provide accurate, current, and complete information during registration and keep your account details updated.
  • Credentials Security: You are solely responsible for maintaining the confidentiality of your dashboard login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

2. Acceptable Use and Merchant Responsibilities

As a merchant using Storeik, you agree to:

  • Compliance with Laws: Comply with all applicable local, national, and international e-commerce, tax, consumer protection, and privacy laws.
  • Messaging Policies:Comply with Meta's (Facebook/Instagram/WhatsApp) Terms of Service and Business Policies. You agree not to use our messaging integrations to send spam, unsolicited promotions, or harassing communications.
  • Prohibited Content: Not host, upload, or sell items related to illegal drugs, weapons, or any other items restricted by law or payment gateway policies.

3. Strict Copyright & Intellectual Property Policy

Storeik respects the intellectual property rights of others and expects our merchants to do the same. We maintain a zero-tolerance policy regarding the sale or promotion of infringing content.

A. Absolute Prohibition on Infringing Content

You are strictly prohibited from listing, selling, advertising, or promoting any product or service on Storeik that infringes upon the intellectual property, copyright, trademark, or patent rights of any third party. This includes, but is not limited to:

  • Counterfeit or Fake Products: Selling items that bear unauthorized trademarks or brand logos (e.g., imitation electronics, fake sportswear, or unauthorized designer apparel).
  • Pirated Software & Digital Goods: Distributing unauthorized copies of software applications, virtual private networks (VPNs), streaming tools, antivirus programs, or developer license keys.
  • Cracked Accounts & Subscription Sharing: Selling access to subscriptions or digital accounts (such as streaming platforms, creative design suites, or music services) without direct, written authorization from the original service provider.
  • Copyrighted Media: Listing unauthorized copies of digital courses, e-books, movies, music, or other media files owned by third parties.
  • Unauthorized Brand Association: Using established corporate names, logos, or trademarks to market products in a manner that falsely implies affiliation, sponsorship, or endorsement.
  • Replicas & Inspired Goods: Selling items marketed as clones, duplicates, replicas, or designs "inspired by" luxury brands.

B. Consequences of Violation

If we discover or receive a report that a store is violating our Intellectual Property Policy, we will take immediate action without prior warning:

  • Immediate Store Deactivation: Your storefront will be taken offline instantly, and public access will be disabled.
  • Permanent Account Termination: Your merchant account and database access will be permanently banned with no possibility of reinstatement.
  • Forfeiture of Fees: Subscription fees and billing balances paid to Storeik will not be refunded for accounts suspended due to intellectual property violations.
  • Legal and Regulatory Cooperation: We reserve the right to cooperate fully with copyright owners, trademark holders, law enforcement agencies, and judicial authorities. This includes sharing your registration details (such as your name, business details, email, phone number, and IP address) to assist with legal inquiries.
  • Search Engine De-indexing: Infringing URLs and store links will be reported to Google and other major search engines for immediate removal from search results.

4. DMCA & Copyright Infringement Reporting

Storeik complies with the Digital Millennium Copyright Act (DMCA) and equivalent global copyright legislations, including the Indian Copyright Act, 1957, and the Information Technology Act, 2000.

If you are a copyright owner or an authorized agent and believe that content hosted on a Storeik merchant storefront infringes your work, you may submit a formal complaint to our designated Copyright Agent:

Notice Requirements

To help us act quickly, your notice must include:

  1. A physical or electronic signature of the person authorized to act on behalf of the owner of the copyright.
  2. A description of the copyrighted work that you claim has been infringed.
  3. The specific URL(s) on the Storeik network containing the allegedly infringing material.
  4. Your contact details, including address, telephone number, and email address.
  5. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  6. A statement, made under penalty of perjury, that the information in your notice is accurate.

Upon receiving a valid and complete infringement notice, we will remove or disable access to the infringing material within 24 hours, notify the merchant, and suspend the non-compliant store.

5. Intermediary Platform Safe Harbor Disclaimer

  • Intermediary Status: Storeik operates solely as an intermediary technology platform (safe harbor provider) that provides software-as-a-service (SaaS) tools for independent merchants to host their storefronts.
  • No Pre-Screening or Endorsement: We do not pre-screen, verify, curate, or endorse the products, services, or descriptions listed by individual merchants on their storefronts.
  • Sole Merchant Liability: Each merchant is solely and fully liable for the content they publish, the products they list, and the legal compliance of their operations. Storeik acts strictly as a technology venue and shall not be held liable for any copyright infringement or trademark violations committed by storefront owners.

6. Subscriptions, Billing, and Payments

  • Subscription Plans: We offer the Service on a subscription basis under different plans (e.g., Free Trial, Monthly, or Annual billing cycles). Features and limits are defined on our pricing pages.
  • 7-Day Free Trial: New signups may be eligible for a 7-day free trial. Upon expiration, you must subscribe to an active paid plan to keep your storefront online and maintain dashboard access.
  • Automatic Renewal: Paid subscriptions will automatically renew at the end of each billing cycle unless cancelled. You authorize us (via our third-party billing providers) to collect the applicable subscription fees.
  • No Refunds: Except as required by law or explicit promotional terms, subscription payments are non-refundable. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.
  • Payment Gateways: You connect your own payment processors (such as Stripe or Razorpay) to collect customer payments. You are bound by the terms and fees of those respective third-party payment providers.

7. Affiliate and Referral Program

Storeik provides a Referral System that allows registered merchants to earn bounty payouts by referring new users:

  • Self-Referral Block: You cannot use your own referral link or register duplicate accounts to earn payouts.
  • Verification and Payouts: Referrals are subject to manual verification. Bounty payouts (e.g., flat rewards) are only approved and paid after the referred merchant completes their first successful subscription payment.
  • Anti-Fraud: Any manipulation of the referral system, creation of fraudulent accounts, or spoofing of referral codes will result in immediate termination of your account and the forfeiture of all pending rewards.

8. Third-Party Integrations and Meta APIs

  • Meta Dependencies: Our Service relies on APIs and webhooks provided by Meta Platforms, Inc. (including WhatsApp Business API and Instagram Graph API).
  • Disclaimer of Control:Storeik does not control Meta's platforms. We are not liable for service interruptions, changes in API availability, or account suspensions imposed by Meta on your Facebook Business Manager, WhatsApp Business Account, or Instagram accounts.

9. Limitation of Liability and Disclaimers

  • As-Is Provision:The Service is provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express or implied.
  • Limitation of Liability: To the maximum extent permitted by law, Storeik, its founders, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenues, customer data, or business opportunities, arising out of your use of or inability to use the Platform.
  • System Failures: We are not liable for delayed webhooks, missed customer order notifications, checkout server downtime, or payment processing errors managed by third-party services.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of major changes by email or through a dashboard notification. Your continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms.
